Terms of Use

1. Acceptance of Terms

By accessing or using the Centic platform and services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. "Centic," "we," "us," and "our" refer to Centic and its affiliates.

2. Description of Service

Centic provides a restaurant data intelligence platform that connects point-of-sale, labour scheduling, loyalty, and other operational data systems into a unified data lake. The Service enables authorized users to query and analyze their data using natural language through AI agents.

3. Accounts & Access

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account.

4. Your Data

You retain ownership of the data you provide or that is ingested from your connected systems ("Client Data"). By using the Service, you grant Centic a non-exclusive, worldwide license to use, process, and store your Client Data solely to provide and improve the Service, and as otherwise described in these Terms and our Privacy Policy.

5. Aggregated Data

We may aggregate, anonymize, or de-identify Client Data so that it no longer identifies you or any individual ("Aggregated Data"). Centic owns all Aggregated Data and may use it for any lawful business purpose without restriction, including analytics, benchmarking, industry trend reports, product improvement, research, and commercial data products. For clarity, Aggregated Data is not considered Client Data and is not subject to the restrictions applicable to Client Data under these Terms.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to any part of the Service or its systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Resell, sublicense, or redistribute the Service without our written consent.
• Submit queries designed to extract raw data of other clients.

7. Intellectual Property

The Service, including all software, algorithms, models, user interface designs, documentation, and Aggregated Data, is the exclusive property of Centic or its licensors and is protected by intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Service as described herein.

8. AI-Generated Outputs

The Service uses third-party AI models to generate responses to your queries. AI-generated outputs are provided on an "as is" basis and may contain inaccuracies. You are responsible for reviewing and validating any output before making business decisions based on it. Centic does not guarantee the accuracy, completeness, or fitness of AI-generated outputs for any particular purpose.

9. Third-Party Integrations

The Service connects with third-party systems (POS, scheduling, etc.) via APIs and integrations. We are not responsible for the availability, accuracy, or content of data provided by third-party systems. Your use of third-party services is governed by their respective terms.

10. Fees & Payment

Fees for the Service are set forth in your order form or subscription agreement with Centic. If no separate agreement exists, the pricing displayed at the time of sign-up applies. All fees are non-refundable except as expressly stated.

11. Termination

Either party may terminate the use of the Service at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will delete or de-identify your Client Data within 90 days of termination, except where retention is required by law. Sections regarding Aggregated Data, intellectual property, limitation of liability, and indemnification survive termination.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CENTIC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENTIC'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CENTIC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL CENTIC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA LOSS.

14. Indemnification

You agree to indemnify and hold harmless Centic and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Ontario, Canada.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
